These Terms of Service ("Terms") govern your use of the Sygentic AI Commerce plugin (including Agentic Commerce and Sygentic AI Commerce Pro features) and the website at https://acommerce.app (together, the "Service"), operated by Barrelmaker Consulting ("we", "us", "our").

By installing the plugin, creating an account, or purchasing a license, you agree to these Terms and our Privacy Policy.

1. Definitions

  • "Free Version": The Sygentic AI Commerce / Agentic Commerce plugin as distributed (including on WordPress.org), licensed under GPL-2.0-or-later.
  • "Pro Version" / "Pro features": Paid features unlocked by a valid Pro license key, including managed AI middleware access and licensed protocol/commerce entitlements.
  • "License Key": A unique code issued upon purchase that activates Pro features on your specified WordPress site(s).
  • "Middleware": Our hosted API service on acommerce.app that processes product/store context using LLM providers and supports license validation and related operator tooling.
  • "LLM Provider": Third-party AI model providers (OpenAI, DeepSeek) used for content generation via our managed service (Pro). Free first-run is activate + A2A discovery and has no bring-your-own API key settings tab.
  • "Managed AI": Pro-tier processing where we select and operate the LLM vendor credentials; you do not supply a vendor API key.

2. Plugin licensing (GPL) and Pro entitlements

2.1 Free Version — GPL-2.0-or-later

The Free Version plugin code is licensed under the GNU General Public License v2.0 or later (GPL-2.0-or-later). You may use, modify, and distribute it in accordance with that license. The full GPL text is available at https://www.gnu.org/licenses/gpl-2.0.html.

Third-party libraries bundled with the plugin retain their own licenses (for example, stripe/stripe-php is MIT). GPL rights attach to the plugin’s GPL-licensed PHP/JS/CSS as distributed; they do not grant you rights to our hosted Middleware, trademarks, or non-GPL brand assets.

2.2 Pro Version — commercial service entitlement

Upon purchase, we grant you a non-exclusive, non-transferable, revocable license to use Sygentic AI Commerce Pro features on a single WordPress installation, subject to these Terms and a current subscription.

  • Sygentic AI Commerce Pro: 1 WordPress installation. Available as a monthly subscription (US$419/month) or annual subscription (US$3,210/year, equivalent to US$267.50/month when billed annually).

For monthly subscriptions, the license remains active while the subscription is current. For annual subscriptions, the license is valid for one year from purchase unless cancelled earlier per Stripe billing rules. Upon cancellation or expiry, Pro features are deactivated; content generated prior to expiry remains yours.

Important: Paying for Pro purchases access to hosted services and entitlements (Middleware, managed AI, license-validated features). It does not convert the GPL plugin code into a proprietary license, and it does not sell ownership of the GPL codebase.

3. Middleware and managed AI service terms

3.1 Pro subscribers (managed AI)

Pro subscribers’ AI processing is handled by Sygentic AI Commerce’s managed Middleware. No vendor API key is required or accepted for managed mode. We select and manage the underlying LLM provider (OpenAI and, optionally, DeepSeek) on your behalf. You are not responsible for direct LLM provider charges; managed AI usage is included in your Pro subscription subject to the spend guardrail below.

Managed AI usage per Pro site is subject to a monthly budget target of US$110.93 (enforced by the Middleware spend guardrail). Usage resets on the first of each calendar month. We may throttle, queue, or reject requests that would exceed the guardrail.

3.2 Free plan

The Free Version first-run is activate + A2A discovery. There is no bring-your-own API key settings tab. Free does not include managed AI, UCP, WebMCP, or agentic checkout. Those features unlock with Pro.

3.3 Acceptable use of Middleware

You agree not to:

  • Generate content that is illegal, defamatory, or infringes third-party intellectual property.
  • Attempt to reverse-engineer, decompile, or extract source code or model weights from the Middleware.
  • Bypass or circumvent license validation mechanisms.
  • Overload or abuse the Middleware with automated requests beyond normal usage patterns.
  • Resell or redistribute Pro license keys.

We may suspend or terminate access for violations.

3.4 No guarantee of AI output

We make no guarantee that AI-generated content is free from factual errors, legal issues, or copyright concerns. You are responsible for reviewing all generated content before publishing.

4. Content ownership

All content generated by the Service using your product data belongs to you. We claim no ownership over your generated titles, descriptions, structured data, AI visibility files, or other outputs, except for our pre-existing IP (brand, Middleware, documentation templates, etc.).

5. Payments and billing

5.1 Pricing

Current pricing is displayed on our pricing page. Prices are in US dollars and exclude applicable taxes.

5.2 Payment processing

Payments are processed by Stripe. We do not store full credit card numbers. Your payment is also subject to Stripe’s terms.

5.3 Renewals and cancellation

Sygentic AI Commerce Pro subscriptions are billed monthly (US$419/month) or annually (US$3,210/year). Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date. You can manage or cancel from your account page or the Stripe billing portal.

5.4 Refunds

Refunds are governed by our Refund Policy. Summary: 14-day refund window for first-time Pro subscription purchases, subject to the conditions stated there. This summary does not limit statutory rights that may apply in your jurisdiction.

6. Service availability

We strive to maintain high availability for the Middleware API but do not guarantee uninterrupted service. Planned maintenance will be announced when practical. We are not liable for losses resulting from service downtime.

The Free Version first-run is activate + A2A discovery, has no bring-your-own API key settings tab, and does not depend on paid Middleware entitlements.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, business, or goodwill.
  • Any damages arising from your use of LLM provider services.
  • The accuracy, completeness, or suitability of AI-generated content.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Barrelmaker Consulting, its officers, employees, and affiliates from claims, damages, or expenses arising from:

  • Your use of the Service.
  • Content you publish that was generated by the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights or applicable laws.

9. Intellectual property

The Service, including Middleware, design, documentation, and brand assets, is the intellectual property of Barrelmaker Consulting, except for:

  • The Free Version plugin code, which is licensed under GPL-2.0-or-later.
  • Third-party open-source libraries, which retain their respective licenses.

“Sygentic AI Commerce”, “Sygentic AI Commerce Pro”, “Agentic Commerce”, and associated logos are trademarks of Barrelmaker Consulting.

10. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, upon notice. Upon termination:

  • Your Pro license key will be deactivated.
  • Content you generated prior to termination remains yours.
  • Refunds, if any, follow the Refund Policy and Section 5.4.

You may stop using the Service at any time by deactivating and deleting the plugin and cancelling any active subscription.

11. Governing law and disputes

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date. For material changes, we will notify you via email or a prominent notice on our website. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

14. Entire agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Barrelmaker Consulting regarding the Service.
